The obligations you handle with Pluto.
Three areas make up the regular obligations of a standard UG or GmbH: ongoing bookkeeping with receipts, bank account and advance VAT returns; the annual financial statements with balance sheet, P&L, notes and publication; and the yearly tax returns. You handle these three areas with Pluto. What isn't included is listed right below.
A UG is a separate legal entity and is treated strictly separately from its shareholders. These obligations apply to every UG:
✓ Corporate income tax return (Körperschaftsteuer)
Tax on profit at company level, a flat 15 % plus solidarity surcharge.
✓ Trade tax return (Gewerbesteuer)
Levied on trade income. No tax-free allowance, so it applies from the first euro.
✓ VAT return (Umsatzsteuer)
A UG also files its VAT return every year.
✓ Withholding tax on dividends (Kapitalertragsteuer)
Only when profits are distributed: due when the UG pays out profits to its shareholders (§ 45a EStG).
✓ Annual financial statements (Jahresabschluss)
Balance sheet, profit and loss statement and notes under the German Commercial Code (HGB), plus publication via the company register. The E-Bilanz transmission to the tax office (Finanzamt) runs through an external tool.
Not covered: cross-border matters, tax groups (Organschaften), restructurings, non-standard provisions, tax audits and payroll with employees.
